1.Purpose and scope
The Service Provider may deliver on-site or remote interpreting, telephone interpreting, customer communication, outbound calls, messaging, appointment coordination, information collection, basic follow-up and assignment reporting, only to the extent expressly assigned by Tongue Global.
Each client assignment must be separately confirmed by Tongue Global in writing, specifying client, scope, date and time, location, fee, expenses and special instructions.
2.Independent service provider
The Service Provider operates independently and is not an employee, partner, agent or legal representative of Tongue Global. Without written authority, the Service Provider cannot bind Tongue Global, give guarantees on its behalf, or commit it to prices, discounts, obligations or third-party arrangements.
3.Confidentiality
All non-public information obtained through Tongue Global is confidential, including client and lead identities, contact details, phone numbers, email addresses, documents, spreadsheets, meeting information, rates, proposals, payment data, conversations, business plans, commercial information, internal processes and other personal/business information.
The Service Provider may use confidential information solely for the authorized assignment and may not disclose it to third parties except where legally required or expressly approved in writing by Tongue Global.
4.Protection of client and lead data
The Service Provider must not copy, export, forward, sell, disclose, publish, reuse or unnecessarily retain client, lead or contact information for personal, commercial or unrelated purposes.
Only data strictly necessary for an assignment may be kept on a personal device and it must be protected against unauthorized access.
5.Authorized client communications
Direct contact with a Tongue client, lead or business connection is allowed only as necessary for an authorized assignment and with Tongue Global’s express authorization.
All communication must use a Tongue Global-approved group, phone number, email address, channel or workflow. Without prior written authorization, the Service Provider may not move a Tongue client into a private WhatsApp conversation, personal social media account or other private channel.
6.Non-circumvention and no direct business
The Service Provider may not bypass Tongue Global to provide services directly or indirectly to a client, lead, company or business connection introduced through Tongue Global.
They may not offer such persons private services, quote personal rates, suggest lower direct fees or divert future bookings outside Tongue Global. To the extent permitted by law, this obligation applies during the agreement and for 12 months after the last assignment or introduction involving the relevant client or lead.
7.Prices, discounts and payments
Unless expressly authorized otherwise in writing, Tongue Global sets client quotations, discounts, extra-hour charges, cancellation conditions and payment arrangements.
Without Tongue Global’s prior written approval, the Service Provider may not request or accept direct payment from a Tongue client, provide a personal IBAN, collect cash or issue a separate invoice to that client.
8.Assignment reporting
For communication-support assignments, the Service Provider shall accurately and completely report calls attempted, response status, agreed follow-ups, appointments, attendance confirmations and other results requested within the assignment.
Results must be transferred to Tongue Global and not kept exclusively on the Service Provider’s personal device or account.
9.Return and deletion of data
At the end of an assignment or upon Tongue Global’s request, client lists, screenshots, downloaded files, phone numbers, documents and data no longer needed for the assignment must be returned or securely deleted unless lawful retention is required or Tongue Global instructs otherwise.
Upon reasonable request, the Service Provider confirms completion of deletion.
10.Recording, images and publicity
The Service Provider may not record calls, meetings or conversations, or photograph/video clients, without the required consent and Tongue Global approval.
Client names, logos, locations, assignment details, images, documents, references or experiences may not be publicized in social media or portfolios without advance written consent from Tongue Global and, where required, the client.
11.Professional conduct
The Service Provider must act professionally, punctually, impartially and respectfully, maintain suitable appearance for on-site assignments, obey lawful client/venue rules and not represent personal views as Tongue Global’s views.
They must not provide legal, medical, tax, investment or other regulated professional advice unless properly qualified and separately authorized.
12.No unauthorized subcontracting or substitution
Without Tongue Global’s prior written consent, the Service Provider may not transfer an assignment, send a substitute, share client data with another interpreter or subcontract any part of the assignment.
13.Conflicts of interest
The Service Provider must promptly disclose any pre-existing personal, professional or commercial relationship with the client, lead or counterparty, or any conflict affecting neutrality, confidentiality or performance.
14.Fees and assignment confirmation
Unless a different percentage is agreed in writing before an assignment, the “Distributable Amount” is calculated from the client service fee actually collected, excluding applicable VAT, after deducting only actual and documented bank transfer fees and payment provider commissions directly associated with that collection. No expense may be deducted twice. 65% of the Distributable Amount is the Service Provider’s gross entitlement and 35% is Tongue Global’s share. Statutory withholding tax and other legally mandatory deductions applicable to the Service Provider are calculated separately on the Service Provider’s gross share, not deducted as a common expense from the full client service fee. Scope, fee, special expenses and any alternative split are confirmed in writing before work starts.
Transport, accommodation, meals, parking and other assignment expenses are reimbursed only if approved in writing in advance by Tongue Global. The assignment confirmation must specify whether these amounts are included in the client price and how they affect the split.
15.Tax and invoicing
The Service Provider shall accurately disclose tax registration/documentation status and promptly notify changes. A tax-registered Service Provider issues an appropriate invoice or self-employment receipt (including e-document if required). An expense voucher (gider pusulası) may be used for an unregistered Service Provider only when the nature of the activity and applicable law allow it. Recurring activity cannot be treated as occasional merely through expense vouchers. Statutory withholding and other deductions depend on the transaction and provider’s legal/tax status and shall be shown on the statement of account.
15.1. Payment schedule and collection
A registered Service Provider who supplies the proper invoice or self-employment receipt is normally paid within five (5) business days after the service is completed, the required document is received and the client payment actually reaches Tongue Global, unless a different arrangement is recorded in the assignment confirmation. Payment-provider settlement periods are considered in planning; collection delays are reported in writing. Mandatory legal payment deadlines prevail.
For an unregistered Service Provider lawfully eligible for expense-voucher treatment, entitlements are normally calculated at month-end and paid in one monthly payment. Actual service dates must be accurately recorded; monthly reconciliation neither extends statutory document deadlines nor makes recurring services occasional. If a lawful documentation approach cannot be identified, the parties must resolve it before accepting the work.
15.2. Earnings statement and payment method
Tongue Global provides an assignment statement of service fee, applicable VAT separation, actual collection costs, Distributable Amount, the Service Provider’s 65% gross share, applicable statutory deductions and net payable amount. Payment is made to a registered bank account in compliance with law. Currency, conversion rate and the relevant conversion date for foreign-currency work must be agreed in writing before the assignment.
16.ANNEX A — Assignment acceptance and confirmation
The Service Provider is free to accept or decline proposed assignments; declining alone is not a breach. Acceptance occurs by written assignment confirmation listing type of service, language pair, client/booking reference, date/time and time zone, location or online link, duration, waiting terms, client price excluding applicable tax, Distributable Amount, estimated gross/net earnings, currency and payment date, approved expenses and cancellation terms. Work does not start before acceptance. In justified emergencies the provider must notify Tongue immediately and may not appoint a substitute independently.
17.ANNEX B — Cancellation, no-shows and schedule changes
Client cancellation is governed by the cancellation conditions previously communicated to and accepted by that client. Only the service-related cancellation fee actually collected and lawfully retained by Tongue Global forms the basis for sharing. After applicable taxes and transaction expenses are separated, the balance is shared 65% to the Service Provider and 35% to Tongue Global unless expressly agreed otherwise for the assignment. A full refund for cancellation at least 48 hours in advance, a 50% refund at 24–48 hours, and no refund below 24 hours or for a client no-show apply only to the extent lawfully binding on the relevant client; statutory rights are preserved. Separately paid preparatory work completed before cancellation is calculated separately. If Tongue Global cancels a confirmed assignment through its own fault, it pays for completed work and pre-approved nonrecoverable expenses; any further promised cancellation compensation follows the assignment confirmation. No automatic punitive deduction applies to an unjustified provider no-show or late cancellation; only evidenced direct damages may be considered under applicable law.
18.ANNEX C — Waiting, lateness and additional time
The Service Provider must be ready at the confirmed starting time. Where the client is late and the provider is present/on call, waiting normally counts toward booked time unless stated otherwise in the assignment confirmation. Extension requires written approval by both client and provider and agreed extra fees before implementation. The default 65/35 split applies to extra time unless otherwise agreed in writing. When the provider is late, actual service time, reasons and consequences are recorded and no arbitrary fee deductions are imposed without lawful basis.
19.ANNEX D — Competence, quality and complaints
The Service Provider accurately represents language proficiency, specialties, documents and any necessary licenses/sworn-interpreter authority, promptly reports changes and does not accept work outside their expertise. They must make reasonable efforts to interpret faithfully, impartially and completely. Tongue records complaints and allows the provider to respond and submit evidence before assessing them within a reasonable time. Corrections objectively verified to result from the provider’s fault are made without further payment where feasible and reasonable; new requests or scope changes are priced separately. Earned payments must not be arbitrarily withheld during unresolved disputes; statutory rights remain.
20.ANNEX E — KVKK, information security and AI tools
The parties comply with Turkish Personal Data Protection Law No. 6698 (KVKK) and other applicable rules. The Service Provider handles only necessary minimum data, limits access, uses secure channels and promptly reports suspected unauthorized access, loss or accidental disclosure. Client documents, identity or health information, voice recordings and meeting content must not be uploaded to external AI, machine translation, transcription or cloud services without prior written authorization from Tongue Global and all other required parties, with appropriate data safeguards. Recording requires separate consent/authorization. Controller/processor roles and international transfers shall be specified through assignment-specific written instructions where applicable.
21.ANNEX F — Intellectual property and portfolios
Any assignment or license of economic/usage rights in written translations, reports, subtitles or other deliverables must be separately described in the written assignment confirmation by scope, duration, territory and type of right, consistently with applicable copyright requirements. The provider retains pre-existing templates, terminology databases, glossaries, methodologies and tools, except materials containing confidential client information. Client names, documents or work may appear in a portfolio only with prior written authorization from Tongue Global and, where necessary, the client.
22.ANNEX G — Liability, fault and insurance
Each party is responsible for its own fault, intentional acts and legally assigned obligations. Claims are assessed on the event, causation, fault and documented direct damage; there is no automatic, unilateral or unlimited indemnity. Mandatory legal protections, data-protection liability and non-excludable rules regarding intention or gross negligence remain applicable. High-risk medical, legal or corporate assignments may require specific qualifications and, if agreed beforehand, professional liability insurance.
23.ANNEX H — Client relationships, pre-existing clients and competition
The Service Provider remains free to work with other companies and their own clients. They may not use Tongue Global’s confidential client/lead information to bypass the company or secretly redirect payments for work originated through Tongue Global. The restriction does not cover demonstrably pre-existing independently established clients or independently sourced relations. Any post-termination client non-solicitation undertaking must not be broadly interpreted unless reviewed for lawful and reasonable duration and client scope by Turkish counsel.
24.ANNEX I — Payment disputes, foreign exchange and reconciliation
The 65% Service Provider / 35% Tongue Global ratio applies only after deducting actual, documented and previously disclosed direct collection charges from collected service revenue excluding applicable VAT. iyzico and similar provider charges must not be treated as a fixed hypothetical amount. Statutory withholding is assessed separately on the provider’s gross share according to law. Gross/net statements and dates of collection/payment are supplied for each assignment; applicable currency conversion and date must be agreed in writing. In a chargeback, payment dispute or refund, the reason must be documented; legitimately earned amounts are not automatically reclaimed absent established provider fault. Delays by payment providers are communicated with expected timing; mandatory due dates apply. Expense vouchers are permitted only when legally appropriate; monthly reconciliation must not conceal recurring activity or extend statutory document deadlines.
25.ANNEX J — Termination, conflicts and document precedence
Either party may end future cooperation by written notice. The parties agree a practical completion/reassignment plan for already accepted work. Amounts earned and approved expenses are settled, and confidential data is returned or securely deleted subject to legal retention requirements. Conflicts must be disclosed promptly. These annexes supplement the main agreement; specific written terms prevail only where explicitly stated and only for that assignment. If language versions differ, the Turkish version signed after legal review prevails.
26.ANNEX K — Separate visual publicity consent
This agreement does not automatically authorize recording or promotional use of the Service Provider’s photograph, voice or video. Relevant KVKK information notices and any necessary express consent are provided in separate documents by purpose and distribution channel. Refusal of promotional consent alone must not prevent concluding this agreement or receiving assignment offers.
27.Term and termination
The agreement begins on the Effective Date and continues until terminated in writing by either party. Tongue Global may immediately suspend an assignment or terminate for serious confidentiality/data-protection breaches, misconduct, unauthorized client contact, circumvention, fraud or security violations.
Confidentiality, client data, non-circumvention, payments, publicity, deletion and responsibility provisions survive to the extent necessary to fulfil their purposes.
28.Breach and responsibility
The Service Provider is responsible, within applicable law, for losses, claims or reasonable costs resulting from intentional misconduct, fraud, unauthorized disclosure, unauthorized direct dealing or material breach. Nothing here excludes liability that cannot lawfully be excluded.
29.Governing law and jurisdiction
The laws of the Republic of Türkiye govern. Subject to mandatory jurisdiction rules, Istanbul courts and enforcement offices have jurisdiction.
30.Entire agreement and assignment-specific terms
This agreement states the general rules for work carried out for Tongue Global. Assignment terms may be confirmed by email, WhatsApp, an assignment form or other written record. A specific term inconsistent with this agreement prevails only when expressly stated and only for that assignment.
Amendments must be made in writing.
31.Acceptance and signatures
By signing, the Service Provider confirms reading, understanding and accepting the agreement and undertaking to follow Tongue Global’s customer communication and data-protection policies.
